TERMS & CONDITIONS

On-Time Doors & Frames LLC
(“On-Time Doors & Frames,” “we,” “us,” or “Seller”)

On-Time Doors & Frames LLC hereby adopts the following Terms and Conditions, which apply to all contracts for sale, agreements, quotations, invoices, or sales (“sale” or “sales”) of On-Time Doors & Frames’ products (“goods”). These Terms may only be modified in writing, signed by an authorized representative of On-Time Doors & Frames LLC.


1. PRICE

All prices are net F.O.B. On-Time Doors & Frames LLC’s facility (currently located in New York), unless otherwise stated in writing. Prices are subject to change without notice and will follow the pricing indices and policies in effect at the time manufacturing begins.


2. PAYMENT TERMS

The Buyer must pay 100% of the purchase price at the time of sale, unless alternate written credit terms are approved in advance.

Because all goods are custom-made for the Buyer:

  • Orders must be paid in full prior to production.

  • Overdue balances accrue interest at 1.5% per month or the maximum legal rate allowed.

  • Buyer authorizes On-Time Doors & Frames to charge any credit card on file for orders and outstanding fees.

  • If a payment is disputed, reversed, or charged back, Buyer remains responsible for the full amount owed plus administrative and processing fees.


3. CONDITIONS

(A) Buyer acknowledges the goods are custom manufactured and not suitable for resale to third parties in the ordinary course of On-Time Doors & Frames’ business.

(B) Buyer is fully responsible for providing accurate measurements and dimensions.

(C) Deliveries requested to a specified address may involve additional freight or delivery charges.

(D) Upon Buyer’s request, and only if storage space is available, On-Time Doors & Frames may store completed goods for a storage fee. Goods placed in storage:

  • Must be paid in full before storage begins

  • Will be deemed accepted and delivered as of the storage start date

  • Will be available for inspection by Buyer

(E) For installment deliveries:
A non-conforming delivery does not entitle the Buyer to cancel remaining installments. Buyer’s sole remedy is to reject the non-conforming goods within 3 days of delivery. The Seller will cure by replacing the goods as soon as reasonably possible.


4. FIELD VERIFICATION

No field site measurements or verifications are included unless expressly stated in writing. Seller may rely entirely on plans, drawings, and specifications provided.


5. LEAD TIME

All lead times are estimates only and subject to change.
Buyer acknowledges:

  • They are not relying on estimated lead times for scheduling;

  • No installation or related work should be scheduled until all goods are physically received.


6. FORCE MAJEURE

Seller is not liable for delays or failure to perform caused by events beyond its control, including but not limited to: acts of God, government actions, new regulations, fires, floods, natural disasters, wars, riots, labor disputes, equipment failures, material shortages, transportation issues, or court orders.

Delivery dates will be automatically adjusted to reflect force majeure delays.


7. REFUNDS AND CANCELLATIONS

All sales are final except as provided below:

Cancellations

  • Orders may be cancelled within three business days of placement if the order has not shipped.

  • A 25% restocking fee applies to cancelled slab/door-only orders.

  • Custom orders (custom sizes, pre-hung, pre-finished, or any order where production has begun) cannot be cancelled.

Cancellation requests must be submitted via email.

Inspection & Non-Conforming Goods

Buyer must inspect goods immediately upon delivery.

  • Notice of non-conformity or defects must be made within 3 days of delivery.

  • If confirmed, Seller will either provide conforming replacement goods or issue a full refund, at Buyer’s option.

  • No refund will be issued until goods are returned in original condition and packaging.

Returns for Non-Defective Goods

If goods are not defective and Seller agrees to accept a return:

  1. Buyer must notify Seller within 24 hours of delivery.

  2. Buyer must pre-pay all return shipping costs.

  3. No refund will be issued until the goods arrive safely to Seller’s warehouse.

Failure to give timely notice results in automatic acceptance of the goods and waiver of all claims.

Alteration of Goods

Any alterations—including cutting, drilling, painting, staining, or installation—voids any right to cancellation, return, refund, or claim.


8. CLAIMS

All claims relating to goods delivered or non-delivery shall be limited to the purchase price of the goods in question.

Failure to notify Seller of any claim within 3 days of delivery (or scheduled delivery date, if no delivery occurs) constitutes a complete waiver of all claims.

Buyer is not entitled to consequential or incidental damages.


9. BACKCHARGES

Buyer must provide written notice and allow Seller reasonable opportunity to correct any issues.
No backcharges will be accepted unless:

  • Approved in writing before the work begins.


10. SEVERABILITY / ENTIRE AGREEMENT

If any provision of this Agreement is found unenforceable, the remaining sections continue in full force.

These Terms & Conditions, combined with any written quotation or invoice from On-Time Doors & Frames LLC, constitute the entire agreement between the parties.

In case of conflict between website terms and invoice terms, the website terms control.


11. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

Mobile Terms of Service

On-Time Doors & Frames

The On-Time Doors & Frames mobile message service (the "Service") is operated by On-Time Doors & Frames (“On-Time Doors & Frames”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to On-Time Doors & Frames’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of On-Time Doors & Frames through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with On-Time Doors & Frames. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18666558466 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other On-Time Doors & Frames mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
